By accessing or using HammerLedger (hammerledger.app) or the HammerR&D JIRA plugin (collectively, the "Services"), provided by HammerAI Inc. ("HammerAI", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
HammerLedger is an R&D evidence preservation platform that helps organizations document, analyze, and seal evidence for R&D tax credit claims (SR&ED in Canada, IRS Section 41 in the United States). The platform uses AI to analyze uploaded files and generate structured findings about R&D activities.
HammerR&D is a free Atlassian Forge plugin for JIRA that automatically scores tickets for R&D tax credit eligibility. It provides a signal score (0.0 to 1.0) and categorization for each issue.
To use HammerLedger, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep it up to date.
HammerLedger offers a 7-day free trial with limited functionality (one ledger, sealing locked). After the trial period, continued access requires a paid subscription. Payment is processed through Stripe. Subscriptions renew automatically on a monthly basis unless cancelled.
HammerR&D is provided free of charge.
You retain all ownership rights to the files, documents, and data you upload to HammerLedger ("Your Content"). By uploading content, you grant HammerAI a limited license to process, analyze, and store Your Content solely for the purpose of providing the Services to you.
For HammerR&D, JIRA issue data is processed for scoring purposes. The resulting scores are stored in Atlassian Forge storage within your JIRA instance. Your JIRA data is not stored on HammerAI servers.
The Services use artificial intelligence (Anthropic Claude) to analyze files and score JIRA tickets for R&D tax credit eligibility. AI-generated findings, scores, and categorizations are provided as decision-support tools and should be reviewed by qualified professionals before being used for tax credit claims.
HammerAI does not provide tax advice. The AI analysis is not a substitute for professional tax, legal, or accounting advice. You are solely responsible for the accuracy and completeness of any tax credit claims you file.
HammerLedger's cryptographic seal feature creates a tamper-evident hash of your evidence chain. The seal provides proof that specific data existed at a point in time. Once sealed, a ledger cannot be modified without breaking the seal. The seal is a technical mechanism and does not constitute legal certification or attestation by HammerAI.

The Services, including all software, algorithms, user interfaces, and documentation, are the intellectual property of HammerAI Inc. The cryptographic seal methodology is patent pending. Nothing in these terms grants you any rights to our intellectual property except the limited right to use the Services as described herein.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAMMERAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
HAMMERAI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO HAMMERAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
HAMMERAI IS NOT RESPONSIBLE FOR THE OUTCOME OF ANY TAX CREDIT CLAIM OR AUDIT. THE SERVICES ARE PROVIDED AS TOOLS TO ASSIST IN DOCUMENTATION AND ANALYSIS, NOT AS GUARANTEES OF TAX CREDIT ELIGIBILITY OR APPROVAL.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HAMMERAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
You may cancel your account at any time. We may suspend or terminate your access to the Services if you violate these terms. Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination to allow for export, after which it will be deleted.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised terms.
